Terms of Use
Please read these Terms of Use carefully before using the Site.
Effective date: May 14, 2026. These Terms of Use (“Terms”) apply to your access to and use of this marketing website and related informational pages operated by Atlas (collectively, the “Site”). The Site is provided by 2681295 Ontario Inc., doing business as Atlas Fabric (“Atlas,” “we,” “us,” or “our”), with operations based in Ontario, Canada.
These Terms exempt Atlas and others from liability or limit liability and contain other important provisions. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.
Eligibility
You may use the Site only if you can enter into a binding agreement with Atlas under applicable law. If applicable law in your jurisdiction restricts your ability to use the Site or to agree to these Terms, you must not use the Site.
The terms “you” and “your” refer to anyone who accesses or uses the Site.
Modifications
We may modify, suspend, or discontinue all or part of the Site, or change these Terms, at any time. Unless we state otherwise, changes to the Terms take effect when the revised Terms are posted on this page with an updated effective date. We may also provide additional notice where required by law. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site. You may not amend these Terms except in writing signed by an authorized representative of Atlas.
About Atlas
Atlas Fabric is the business name of 2681295 Ontario Inc., a corporation governed by the laws of Canada, with principal business address at 104 Crockford Boulevard, Toronto, Ontario, Canada. In these Terms, “Atlas,” “we,” “us,” and “our” refer to 2681295 Ontario Inc. and, where applicable, its affiliates involved in operating the Site.
Privacy and electronic communications
Personal information collected through the Site is handled as described in our Privacy Policy. By using the Site, you acknowledge that information may be collected, used, and disclosed as set out there (including through consent and cookie controls where applicable).
Where applicable, commercial electronic messages from Atlas are sent in alignment with Canadian anti-spam requirements, including consent where required and an unsubscribe mechanism where required by law.
Role of the Site; no professional advice
The Site provides general information about Atlas, its capabilities, and how to get in touch. Unless expressly stated otherwise on the Site, nothing on the Site is legal, cybersecurity, regulatory, procurement, or clinical advice, and must not be relied on as a substitute for advice from qualified professionals familiar with your organization and obligations.
References or links to third parties (for example, tools for scheduling or resources) are provided for convenience. They do not constitute an endorsement or guarantee by Atlas of those parties, services, or materials.
Use of the Site
You may use the Site for lawful business information and evaluation purposes. You must not use the Site in any way that violates applicable law, interferes with normal operation of the Site or underlying systems, or attempts unauthorized access to networks, accounts, or data.
Acceptable use
By using the Site, you agree that you will not:
- Introduce malware or use the Site in a way intended to damage, disrupt, or gain unauthorized access to any system or data;
- Scrape, harvest, or use automated means to collect content from the Site in a manner that exceeds what is permitted by applicable law or by robots.txt (if any), or that unreasonably burdens the Site;
- Misrepresent your identity or affiliation, or upload or transmit content you do not have the right to provide;
- Use the Site to violate the rights of others, including intellectual property, privacy, or publicity rights; or
- Use the Site for any purpose that is unlawful, harassing, or contrary to these Terms.
We may investigate suspected misuse and cooperate with law enforcement where permitted. We have no obligation to monitor the Site but may do so to operate the Site, protect users and Atlas, or comply with law.
No offer or contract formation
Site content is informational only and does not constitute an offer, commitment to supply, or acceptance of procurement terms. Any services, deliverables, security obligations, and data-handling requirements are defined only in a written agreement signed by authorized representatives.
Sensitive and regulated information
The Site is a marketing and contact channel and is not intended for transfer of patient records, clinical files, classified information, controlled goods data, or other export-controlled or security-sensitive material. Do not submit such information through Site forms unless Atlas has expressly provided a secure and authorized process for that purpose.
Public sector and defence engagement boundaries
For public sector and defence-related engagements, additional legal and security controls may apply, including procurement rules, security screening, export controls, and information classification requirements. Atlas may decline or limit engagement unless those requirements are confirmed through the appropriate contracting and security channels.
Third-party services and links
The Site may link to third-party tools or websites, including scheduling providers. Atlas does not control third-party sites and is not responsible for their content, terms, availability, or privacy practices. Your use of those services is governed by their own terms and policies.
Intellectual property
Unless otherwise stated, Site content is owned by Atlas or its licensors and is protected by copyright, trademark, and other laws. You may view and print reasonable excerpts for internal business evaluation, but you may not reproduce, distribute, publicly display, or create derivative works except as permitted by law or with prior written permission from Atlas.
If you submit feedback, ideas, or suggestions about the Site or Atlas’s business (“Feedback”), you grant Atlas a worldwide, royalty-free, perpetual, irrevocable, sublicensable right to use, disclose, and exploit that Feedback for any purpose, without obligation to you, and you represent that the Feedback does not include confidential information or third-party intellectual property that you are not authorized to share.
Indemnity
You agree to indemnify and hold Atlas harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or violation of applicable law.
Disclaimers
The laws of certain jurisdictions, including Québec, may not allow the exclusion or limitation of certain warranties or representations. Your right is not limited except to the extent permitted by applicable law, and nothing in these Terms is intended to affect any non-waivable statutory rights.
To the fullest extent permitted by applicable law, the Site is provided on an “as is” and “as available” basis. Atlas disclaims all representations, warranties, and conditions, express or implied, including merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, completeness, and uninterrupted or error-free operation.
Limitation of liability
To the fullest extent permitted by applicable law, Atlas and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, business opportunity, or goodwill arising from your use of, or inability to use, the Site. Nothing in these Terms excludes liability where exclusion is prohibited by law (including, where applicable, mandatory Quebec consumer protection rights).
Suspension; discontinuing use
You may stop using the Site at any time. We may suspend, restrict, or terminate your access to all or part of the Site if we reasonably believe you have violated these Terms, pose a security risk, or where required by law, without prejudice to other remedies.
Entire agreement
These Terms, together with documents expressly referenced (including the Privacy Policy), constitute the entire agreement between you and Atlas regarding the Site and supersede prior understandings on the same subject matter, except for written agreements signed by Atlas for separate services.
Waiver and severability
If Atlas does not enforce a provision, that does not waive the right to enforce it later. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision should be modified to the minimum extent necessary to reflect the parties’ intent.
Residents of Québec
If you are a consumer in Québec and applicable law gives you specific rights regarding material changes to standard-form contracts, those rights are in addition to what is stated in the “Modifications” section above, and we will comply with applicable requirements where they apply to you.
Notice
We may provide notices regarding the Site or these Terms by posting on the Site, by email to an address you provided to us, or by other lawful means. You are responsible for keeping your contact information accurate if you choose to provide it.
Assignment
You may not assign or transfer these Terms or your rights under them without Atlas’s prior written consent. Atlas may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, subject to applicable law.
Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to mandatory law, you agree that courts located in Toronto, Ontario have exclusive jurisdiction over disputes arising from or related to these Terms or the Site. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
International access and compliance
If you access the Site from outside Canada, you are responsible for compliance with local laws. Atlas may limit or decline interactions where legal, sanctions, export control, or security requirements prohibit engagement.
